Summary
The Senior Associate, Mergers & Acquisitions, will play a critical role in driving the company’s growth strategy through mergers & acquisitions (M&A) and direct equity investments. This individual will support the identification, evaluation and execution of strategic transactions that align with ETS’s long-term objectives. The Associate will work closely with the Principals and VP, as well as senior leaders across the organization, to ensure each transaction maximizes value and supports the company’s mission. Transactions will include M&A, divestitures and direct equity investments, both domestically and internationally. The Senior Associate, Mergers & Acquisitions, will be a member of the ETS Capital team. ETS Capital is part of ETS, a global education and talent solutions organization dedicated to preparing lifelong learners for the future. With significant Assets Under Management (AUM), we pursue strategic equity investments, growth partnerships, and mergers/acquisitions with the world's most innovative companies. ETS Capital has transacted with 20+ innovative companies over the last 5 years, including PSI, ApplyBoard, upGrad, OpenClassrooms and more.

Transaction Sourcing and Evaluation
  • Develop and manage relationships with outside parties (investment banks, industry consultants, potential counterparties etc.)
  • Identify and evaluate potential M&A and direct equity investment opportunities in alignment with ETS’s strategic goals
  • Conduct industry, market and company-specific research to support transaction sourcing
  • Develop financial models to assess the impact of potential transactions, including valuations, pro forma analyses and ROI assessments

Due Diligence & Transaction Execution
  • Coordinate due diligence efforts, working with the Principals and VP, as well as cross-functional teams, including legal, finance, operations and external advisors
  • Prepare and present detailed investment memos, board presentations and other documentation to support transaction approval processes
  • Assist in transaction negotiation, working closely with Principals, VP and legal counsel

Strategic Analysis & Planning
  • Collaborate with the Corporate Development team and senior leadership to refine ETS’s overall corporate strategy
  • Provide strategic analysis and insights into market trends, competitive landscape and emerging opportunities within the education sector

Post-Transaction Portfolio Management & Integration
  • Monitor performance of completed transactions and report on achievement of strategic and financial goals
  • Work with the integration management office and business units to support the integration of acquired businesses or investments, ensuring seamless operational and cultural alignment

Experience and Skills
  • Proficiency in MS Office business applications (PowerPoint, Excel, Word, etc.), including financial modeling and valuation
  • Strong analytical and problem-solving skills, with the ability to synthesize complex information and develop actionable insights
  • Excellent communication and presentation skills, with the ability to effectively interact with senior executives and external stakeholders
  • Commitment to a team-based environment and capable of working within a cross-functional / multi-functional matrix organization
  • Detail-oriented with a strong sense of accountability and an ability to simultaneously manage multiple projects
  • Ability to work independently and as part of a collaborative team in a fast-paced environment

Education/Experience
  • Bachelor’s degree in Finance, Economics, Business Administration, or a related field. MBA or advanced degree is a plus
  • 4+ years of experience in investment banking, management consulting, private equity or a similar field, with a strong emphasis on M&A and/or direct equity investment transactions
  • Proven experience in financial modeling, valuation and/or due diligence
